Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service", "Agreement") carefully before using the SLPMate web application (the "Service") operated by SLPMate ("us", "we", "our", "the Company", or "SLPMate"). These Terms govern your access to and use of the Service and form a legally binding contract between you and SLPMate. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, subscribers, and others who access or use the Service. By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Agreement to Terms and Conditions of Use

By creating an account, accessing, browsing, or otherwise using the SLPMate platform in any capacity, you acknowledge that you have read these Terms of Service in their entirety, that you understand the contents thereof, and that you agree, without limitation or qualification, to be bound by the terms and conditions set forth herein. These Terms of Service, together with our Privacy Policy and any other policies or documents incorporated herein by reference, constitute the entire agreement between you and SLPMate with respect to your use of the Service.

If you are using the Service on behalf of an organisation, practice, clinic, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" shall refer to both you as an individual and to the entity on whose behalf you are acting. SLPMate shall not be responsible for any unauthorised use of the Service by individuals acting outside the scope of their authority.

These Terms constitute a legally binding agreement between you and SLPMate, a company registered in the United Kingdom. The laws of England and Wales govern this Agreement in all respects. SLPMate reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.

2. Description of the Service

SLPMate is a web-based software-as-a-service (SaaS) platform specifically designed and developed for use by qualified Speech-Language Pathologists (SLPs), also known in various jurisdictions as speech and language therapists, speech therapists, or speech pathologists. The Service provides a comprehensive suite of practice management tools including, but not limited to, client record management, session logging and tracking, therapy activity assignment and delivery, goal setting and progress monitoring, billing and invoice generation, and waitlist management.

The Service is intended to function as a productivity and administrative tool to assist qualified practitioners in managing the non-clinical aspects of their professional practice. SLPMate is not, and shall not under any circumstances be construed as, a clinical decision support system, a diagnostic tool, a medical device, an electronic health record (EHR) system as defined under any applicable healthcare legislation, or a substitute for the professional judgement, clinical expertise, or ethical obligations of the practitioner using it.

SLPMate makes no representations or warranties regarding the clinical appropriateness, efficacy, or suitability of any activities, resources, materials, or content provided through the Service. All clinical decisions remain the sole responsibility of the qualified practitioner. The Company expressly disclaims any liability arising from clinical decisions made with or without reference to content provided through the Service.

The Service may be updated, modified, expanded, or reduced at any time. Features described in marketing materials or documentation may change without notice. We will make reasonable efforts to communicate significant changes but are under no obligation to maintain any particular feature beyond what is required to provide a functional practice management platform.

2.1 Availability of the Service

SLPMate does not guarantee that the Service will be available at all times, uninterrupted, or free from errors. Scheduled and unscheduled maintenance, third-party service outages, force majeure events, and other circumstances beyond our reasonable control may result in temporary unavailability. We will make reasonable efforts to restore availability as promptly as practicable in the event of an outage.

2.2 Beta Features

From time to time, SLPMate may make available features designated as beta, preview, experimental, or early access. Such features are provided "as is" without any warranties and may be modified or withdrawn at any time without notice. Your use of beta features is at your sole risk.

3. Eligibility Requirements

The Service is intended exclusively for use by adult professionals in the field of speech-language pathology. To create an account and use the Service, you must be at least eighteen (18) years of age. You must be a qualified Speech-Language Pathologist, a student Speech-Language Pathologist enrolled in an accredited programme and using the Service under appropriate supervision, or a professional otherwise lawfully authorised to use practice management software in connection with speech-language therapy services in your jurisdiction. You must have the legal capacity to enter into a binding contract in your jurisdiction and must not be prohibited from using the Service under any applicable laws, regulations, or court orders.

SLPMate reserves the right to verify your eligibility at any time and to suspend or terminate your account if we have reasonable grounds to believe that you do not meet the eligibility requirements or that you have provided false or misleading information. By creating an account, you represent and warrant that you meet all eligibility requirements and that the information you provide is accurate and complete.

4. Account Registration and Security

4.1 Account Creation

To access the full features of the Service, you must register for an account. During registration, you will be required to provide personal and professional information including your name, email address, professional title, clinic or practice name, and a password. You agree to provide accurate, current, and complete information and to update such information as necessary.

4.2 Account Security

You are solely and exclusively responsible for safeguarding the confidentiality of your account credentials. You are responsible for all activities that occur under your account, whether or not you authorised such activities. You agree to notify SLPMate immediately at legal@slpmate.com if you become aware of any actual or suspected unauthorised access to your account or any other breach of security. SLPMate will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.

4.3 One Account Per User

Each subscription to the Service is for a single named user. You may not share your account credentials with any other individual, entity, or organisation. You may not create multiple accounts for the purpose of circumventing subscription limits or any other restrictions imposed by these Terms.

4.4 Account Termination by User

You may close your account at any time by contacting us at legal@slpmate.com. Upon closure, your right to access and use the Service will terminate immediately. Data retention following account closure is governed by our Privacy Policy and Section 12 of these Terms.

5. Free Trial and Subscription Terms

5.1 Free Trial Period

New users who register for an account are entitled to a free trial period of fourteen (14) calendar days from the date of account creation. During the Trial Period, you will have access to the features of the Service as specified at the time of registration. No payment information is required to commence the Trial Period unless otherwise communicated. At the conclusion of the Trial Period, continued access to the Service will require the purchase of a paid subscription. SLPMate reserves the right to modify the duration, scope, or availability of the Trial Period at any time and without prior notice.

5.2 Paid Subscription

Following the conclusion of the Trial Period, continued full access to the Service requires the purchase of a paid subscription. Subscription plans, pricing, and included features are as described on the SLPMate website at the time of purchase and are subject to change. Your subscription will automatically renew at the end of each billing period unless you cancel it in accordance with the cancellation provisions set out in Section 5.3. All subscription fees are quoted exclusive of any applicable taxes, including VAT, GST, sales tax, or similar taxes, which will be added where applicable.

5.3 Cancellation Policy

You may cancel your subscription at any time by accessing your account settings or by contacting us at legal@slpmate.app. Cancellation will take effect at the end of the current billing period. You will retain access to the Service until the end of the billing period for which you have already paid. We do not offer refunds or credits for any unused portion of a billing period, except where required by applicable mandatory consumer protection laws in your jurisdiction.

5.4 Price Changes

SLPMate reserves the right to modify subscription pricing at any time. In the event of a price increase, we will provide at least thirty (30) days' advance notice via the email address associated with your account. Your continued use of the Service following the effective date of the price change constitutes your acceptance of the new pricing.

5.5 Payment Processing

Payment for subscriptions is processed by third-party payment processors. By providing your payment information, you authorise us and our payment processors to charge the applicable subscription fees to your designated payment method on a recurring basis. You represent and warrant that you are authorised to use the payment method you provide. SLPMate does not store your full payment card details; these are held securely by our payment processor in accordance with applicable payment card industry standards.

5.6 Failed Payments

In the event that a payment fails or is declined, SLPMate reserves the right to suspend or restrict access to the Service until payment is successfully processed. We will make reasonable efforts to notify you of a failed payment before suspending access.

6. Data Ownership, Privacy, and Healthcare Data

6.1 Ownership of Your Data

You retain full and exclusive ownership of all data, content, and information that you upload, input, create, store, or otherwise submit through the Service, including but not limited to client records, session notes, billing information, activity results, goals, and any other practice-related data ("Your Data"). SLPMate does not claim any ownership, proprietary, or intellectual property rights over Your Data.

6.2 Licence to Process Your Data

By using the Service, you grant SLPMate a limited, non-exclusive, royalty-free licence to access, store, process, and use Your Data solely for the purpose of providing the Service to you. This licence terminates upon the deletion of Your Data from our systems in accordance with our data retention practices.

6.3 Data Processing

We process Your Data as a data processor acting on your instructions. We do not sell, trade, rent, share, or otherwise disclose Your Data to any third party except as described in our Privacy Policy or as required by applicable law.

6.4 Healthcare and Patient Data — Important Disclaimer

IMPORTANT NOTICE REGARDING HEALTHCARE DATA COMPLIANCE

SLPMate is not currently certified as compliant with the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations. SLPMate has not entered into a Business Associate Agreement (BAA) and does not currently offer a BAA to users. Users who are covered entities or business associates under HIPAA should obtain independent legal advice before storing Protected Health Information (PHI) in the Service.

SLPMate is not currently certified as compliant with the UK General Data Protection Regulation (UK GDPR) as it applies to special category personal data, including health data. Users who process special category data must ensure they have an appropriate lawful basis and have implemented appropriate safeguards.

SLPMate is not currently certified as compliant with PIPEDA or applicable provincial privacy legislation in Canada, or with the Australian Privacy Act 1988 and the Australian Privacy Principles.

You are solely and exclusively responsible for ensuring that your use of the Service complies with all applicable laws, regulations, professional standards, and ethical obligations in your jurisdiction relating to the storage, processing, and protection of patient or client health information. We strongly recommend that you obtain independent legal advice from a qualified solicitor or privacy counsel before storing identifiable patient or client data in the Service. SLPMate expressly disclaims all liability arising from your failure to comply with applicable healthcare data protection laws.

6.5 Data Security Measures

SLPMate implements commercially reasonable technical and organisational security measures designed to protect Your Data against unauthorised access, disclosure, alteration, or destruction. These measures include encryption of data in transit using TLS, encryption of data at rest, row-level security policies ensuring that each user can only access their own data, and secure authentication protocols including password hashing. Notwithstanding the foregoing, no method of electronic transmission or storage is one hundred percent secure, and SLPMate cannot guarantee the absolute security of Your Data.

6.6 Data Breach Notification

In the event of a personal data breach that is likely to result in a risk to your rights and freedoms, SLPMate will notify you without undue delay and, where feasible, within seventy-two (72) hours of becoming aware of the breach, to the extent required by applicable data protection law.

7. Acceptable Use Policy

Your use of the Service is subject to the following acceptable use policy. Violation of this policy may result in immediate suspension or termination of your account without notice or liability to you.

You agree not to use the Service, directly or indirectly, for any of the following purposes:

You acknowledge that your use of the Service does not relieve you of any professional, ethical, or legal obligations you have as a qualified practitioner. You remain solely responsible for ensuring that your use of the Service complies with the standards, codes of conduct, and regulatory requirements applicable to your profession in your jurisdiction.

8. Intellectual Property Rights

8.1 Ownership of the Service

The Service and all of its components, including but not limited to all software, code, algorithms, databases, interfaces, designs, graphics, text, images, and other content created by or on behalf of SLPMate, are owned by SLPMate or its licensors and are protected by applicable intellectual property laws. All rights in and to SLPMate Content are reserved by SLPMate and its licensors.

8.2 Licence to Use the Service

Subject to your compliance with these Terms and the timely payment of all applicable subscription fees, SLPMate grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your own internal professional purposes as a Speech-Language Pathologist or equivalent qualified practitioner during the term of your subscription.

8.3 Trademarks

The SLPMate name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SLPMate and may not be used without our prior written permission.

8.4 Feedback

If you provide SLPMate with any suggestions, ideas, enhancement requests, or feedback relating to the Service, you hereby grant SLPMate a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and exploit such feedback in any manner, without any obligation, restriction, or compensation to you.

9. Third-Party Services and Links

SLPMate uses a number of third-party services in connection with the provision of the Service, including Supabase Inc. for database hosting and authentication services, and Vercel Inc. for application hosting. Your use of the Service is subject to the terms of service and privacy policies of these third-party providers. SLPMate shall not be liable for any damage or loss caused by your use of or reliance on any third-party services.

10. Disclaimers and Limitation of Warranties

10.1 No Clinical Warranties

SLPMate makes no representations, warranties, or guarantees of any kind regarding the clinical accuracy, appropriateness, completeness, reliability, or efficacy of any activities, resources, assessment tools, materials, or content made available through the Service. All clinical content is provided for general informational and administrative purposes only.

10.2 General Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS", WITHOUT WARRANTY OF ANY KIND. SLPMATE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND SECURITY. SLPMATE DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability and Indemnification

11.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SLPMATE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SLPMATE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO SLPMATE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE, OR (B) ONE HUNDRED POUNDS STERLING (£100). NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT SLPMATE'S LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, OR FOR FRAUD OR FRAUDULENT MISREPRESENTATION.

11.2 Indemnification

You agree to defend, indemnify, and hold harmless SLPMate and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and fees (including reasonable legal fees) arising out of or relating to your violation of these Terms, your use or misuse of the Service, your violation of any applicable law or regulation, or any content or data you submit through the Service.

12. Term and Termination

12.1 Term

These Terms are effective from the date on which you first access or use the Service and shall remain in full force and effect for as long as you maintain an account with SLPMate, subject to earlier termination.

12.2 Termination by SLPMate

SLPMate reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to the Service at any time and without prior notice if you breach any provision of these Terms, your account has been inactive for an extended period, we are required to do so by applicable law, or we reasonably believe that your use of the Service poses a risk to the security or integrity of the Service or to other users.

12.3 Effect of Termination

Upon termination of your account for any reason, your right to access and use the Service will immediately cease. You may submit a written request to legal@slpmate.com to export a copy of Your Data within thirty (30) days of the date of termination. After this thirty-day period, we may permanently delete Your Data from our systems. Termination does not affect any accrued rights or obligations of either party as of the date of termination.

12.4 Survival

Sections 6, 8, 10, 11, 14, and any other provisions that by their nature are intended to survive termination shall survive any termination or expiration of these Terms.

13. Changes to the Service and Terms

SLPMate reserves the right to modify, update, suspend, discontinue, or add features to the Service at any time, with or without notice to you. We may revise and update these Terms from time to time in our sole discretion. For material changes, we will make reasonable efforts to provide at least thirty (30) days' advance notice. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, without regard to any conflict of law principles.

14.2 Jurisdiction

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

14.3 International Users

If you are accessing the Service from outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws. You acknowledge that your personal data may be transferred to, stored, and processed in the United Kingdom.

14.4 Waiver of Class Actions

To the extent permitted by applicable law, you waive any right to bring or participate in any class action, collective action, or representative proceeding arising out of or relating to these Terms or your use of the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated herein by reference, constitute the entire agreement between you and SLPMate with respect to the Service and supersede all prior and contemporaneous understandings and agreements.

15.2 Waiver

No failure or delay by SLPMate in exercising any right under these Terms shall operate as a waiver thereof.

15.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions will continue in full force and effect.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without SLPMate's prior written consent. SLPMate may assign or transfer these Terms without restriction. Any purported assignment in violation of this section shall be null and void.

15.5 Force Majeure

SLPMate shall not be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, government actions, power outages, or failures of third-party service providers.

15.6 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and SLPMate.

15.7 Notices

All notices under these Terms shall be in writing and shall be deemed duly given when sent by email to the addresses specified in these Terms or otherwise notified by either party.
